These terms are a contract between you and Vaitly Ltd ("we", "us") and govern your use of N4Z Landlord — our web app, the tenant portal and our mobile apps (the "Service"). By creating an account or using the Service, you agree to these terms. Please read the "Not legal advice" notice in section 4 carefully.

1. About us and these terms

N4Z Landlord is operated by Vaitly Ltd, registered in England and Wales (company number to be confirmed), registered office to be confirmed. You can reach us at [email protected]. These terms incorporate our Privacy Policy, Cookie Policy and Acceptable Use Policy.

2. Eligibility & your account

  • You must be at least 18 and able to enter a contract.
  • You must give accurate account information and keep it up to date.
  • You are responsible for your login credentials and all activity under your account; keep your password secure and tell us promptly of any unauthorised use.
  • If you create an account on behalf of a business, you confirm you are authorised to bind it.

3. What the Service does

The Service helps landlords manage properties, tenancies, compliance, documents, reminders and communications, and gives tenants a portal to view their tenancy, documents, rent and messages, and to complete onboarding and sign agreements electronically. Features vary by plan and jurisdiction (England, Wales and Scotland).

4. Important: this is not legal advice

N4Z Landlord provides legal information and document assistance, generated from primary legislation and templates. It is not a substitute for advice from a qualified solicitor and we are not a law firm. Agreements, notices and other documents are tools to help you — you are responsible for checking they are correct, complete and suitable for your circumstances, and for complying with your own legal obligations as a landlord. Where a matter is significant or contentious, seek professional legal advice. We do not guarantee any particular legal outcome.

5. Your responsibilities

  • Ensure you have a lawful basis and the right to enter and invite the people whose data you add (including tenants and contacts), and that the information you provide is accurate.
  • Comply with all laws applicable to you as a landlord, including tenancy, deposit protection, safety, licensing and data protection laws.
  • Use generated documents responsibly and review them before relying on or sending them.
  • Act in line with the Acceptable Use Policy.

6. Tenant accounts & the tenant portal

Tenants access the portal with an email and password tied to the email their landlord invited. The portal is provided to help tenants manage their tenancy; tenant data is handled as described in our Privacy Policy, with the landlord acting as controller of that data and us as processor. Electronic signatures captured in the portal record the signer's name, email, IP address and timestamp as evidence of signing.

7. Plans, fees & billing

  • Some features require a paid subscription. Prices and plan limits are shown on our pricing page and may change with reasonable notice.
  • Subscriptions renew automatically for the same period unless cancelled before renewal. You can cancel at any time, effective at the end of the current period.
  • Fees are stated exclusive of any applicable taxes, which you are responsible for.
  • Except where required by law, payments are non-refundable for periods already started.
  • If a payment fails or is overdue, we may suspend paid features until it is resolved.

8. Your content and documents

  • You retain ownership of the data and documents you put into the Service ("Your Content").
  • You grant us a licence to host, process and display Your Content as needed to provide the Service and as described in our Privacy Policy.
  • You are responsible for Your Content and confirm you have the rights to use it and that it does not break the law or these terms.
  • You should keep your own copies of important documents.

9. Our intellectual property

The Service, including its software, design, templates and content (excluding Your Content), belongs to us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. You may not copy, resell, reverse-engineer or create derivative works except as the law allows.

10. Third-party services

The Service may integrate optional third-party services (for example identity, e-signature and accounting providers). Your use of those services may be subject to their own terms, and their availability is not guaranteed. We are not responsible for third-party services we do not control.

11. Availability, changes & beta features

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may change, add or remove features, and may offer beta or preview features "as is", which may be changed or withdrawn.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and that documents will meet your specific legal needs. Nothing in these terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud), or affects the statutory rights of consumers.

13. Limitation of liability

  • We are not liable for loss of profits, revenue, goodwill, or for indirect or consequential loss.
  • We are not liable for loss arising from your reliance on generated documents without appropriate checks or professional advice, or from your own failure to meet legal obligations.
  • Subject to the above, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period or £100.

14. Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these terms, your misuse of the Service, or Your Content.

15. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these terms, fail to pay, or to protect the Service or others. On termination, your right to use the Service ends; we will handle your data as described in our Privacy Policy. You can request an export of your data before closing your account.

16. Governing law & jurisdiction

These terms are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction, without affecting any mandatory consumer-protection rights you have in your place of residence.

17. Changes to these terms

We may update these terms from time to time. We will update the "last updated" date and, for significant changes, give reasonable notice. Continuing to use the Service after changes take effect means you accept the updated terms.
